AXAYA AI LLC ("we," "our," or "us") provides access to the website www.axayaai.com and the AXAYA AI SaaS platform (app.axayaai.com). By creating an account, accessing, or using our software and related automation services, you agree to comply with and be bound by these Terms of Service.

1. Account Registration and Access

To use AXAYA AI services, you must register for an account and provide accurate, current, and complete corporate and contact information. You are solely responsible for safeguarding your login credentials and for all activities conducted under your sub-accounts.

2. Software Subscription and Usage Billing

Access to AXAYA AI tools, CRM automations, and AI features is billed on a recurring subscription basis according to your chosen plan. Ancillary usage costs (including AI processing tokens, telephony carrier fees, SMS delivery, and verification charges) are rebilled based on actual consumption through authorized payment gateways (Stripe). Failure to settle balances may result in service suspension.

3. Acceptable Use and Messaging Compliance

You agree not to use the AXAYA AI platform to send unsolicited text messages or automated communications that violate carrier requirements, TCPA, CTIA, or 10DLC regulations. AXAYA AI LLC strictly prohibits spam, misleading campaigns, unlawful data scraping, and any activity that breaches third-party infrastructure terms.

4. Intellectual Property

AXAYA AI LLC retains all rights, title, and interest in and to the platform, proprietary workflow architecture, software code, branding, and interfaces. Subscribers retain ownership of client data uploaded into their respective tenant instances.

5. Limitation of Liability

AXAYA AI LLC is provided on an "as is" and "as available" basis without warranties of any kind. Under no circumstances shall AXAYA AI LLC be held liable for indirect, incidental, punitive, or consequential damages resulting from platform downtime, carrier-level messaging rejections, or business interruptions.

6. Termination

Either party may terminate an account subscription at any time via dashboard billing controls or support notice prior to the start of the next billing cycle. Upon termination, system access will cease at the end of the paid term.
